Governing Your Use of Purpose Forward Services

Welcome to Purpose Forward. These Terms & Conditions ("Terms") govern your access to and use of our website, services, and products provided by Purpose Forward and in conjunction with PF TECH. By accessing or using our services, you agree to be bound by these Terms.

Please read these Terms carefully before using our services. If you do not agree to these Terms, you may not access or use our services.

1. Introduction and Acceptance of Terms

Welcome to Purpose Forward ("we," "us," "our," or "Company"), a Canadian not-for-profit corporation established to accelerate the growth of grassroots, social purpose organizations. These Terms and Conditions ("Terms," "Agreement") govern your use of our website located at https://www.purposeforward.org/ (the "Service," "Website") operated by Purpose Forward.

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access our Services. These Terms apply to all visitors, users, and others who access or use our Services.

These Terms constitute a legally binding agreement between you and Purpose Forward. Your access to and use of our Services is conditioned on your acceptance of and compliance with these Terms. Please read these Terms carefully before using our Service.

If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and your agreement to these Terms will be treated as the agreement of the organization. In that case, "you" and "your" will refer to that organization.

2. About Purpose Forward

Purpose Forward is a Canadian not-for-profit corporation established in early 2021 with the mission to accelerate the growth of grassroots, social purpose organizations. We provide a range of services designed to help organizations in the social purpose sector build operational capacity and scale their impact.

Our services include:

  • Support Services: "Plug-and-play" back-office solutions to help organizations focus on their mission
  • Consulting: Specialized expertise in the non-profit sector with a holistic approach to solving complex challenges
  • Training: Custom tools and training modules to help organizations build internal capacity
  • Digital Products: Policy toolkits, templates, and resources available through our digital store

We work with founders trying to get off the ground, established teams looking to scale, and organizations throughout the social purpose sector including community charities and hospitals.

3. Use of the Service

3.1 Permitted Use

You may use our Service for lawful purposes only and in accordance with these Terms. You agree to use the Service only for purposes that are legal, proper, and in accordance with these Terms and any applicable laws or regulations.

Specifically, you may use the Service to:

  • Learn about Purpose Forward's services and mission
  • Request consultations and engage our services
  • Access resources, tools, and information we provide
  • Subscribe to our newsletter and communications
  • Purchase digital products from our store
  • Submit support requests and communicate with our team
  • Participate in training programs and educational content

3.2 Prohibited Use

You agree not to use the Service:

  • For any unlawful purpose or to solicit others to perform unlawful acts
  • To violate any international, federal, provincial, or local regulations, rules, laws, or ordinances
  • To infringe upon or violate our intellectual property rights or the intellectual property rights of others
  • To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
  • To submit false or misleading information
  • To upload or transmit viruses or any other type of malicious code
  • To collect or track the personal information of others
  • To spam, phish, pharm, pretext, spider, crawl, or scrape
  • For any obscene or immoral purpose or to engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service

4. User Accounts and Registration

When you create an account with us, you must provide information that is accurate, complete, and current at all times. You are responsible for safeguarding the password and for maintaining the confidentiality of your account information.

You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account or any other breach of security

We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion, particularly if we believe you have violated these Terms.

5. Services and Consultations

Purpose Forward provides various services to organizations in the social purpose sector. Our services are subject to availability and may be modified, suspended, or discontinued at any time without notice.

  • Service Engagement: When you engage our services, additional terms and conditions may apply as outlined in separate service agreements or statements of work. These additional terms supplement but do not replace these general Terms and Conditions.
  • Consultation Booking: Free consultations are offered subject to availability. We reserve the right to reschedule or cancel consultations with reasonable notice. Consultation availability does not guarantee service engagement.
  • Service Delivery: We will make reasonable efforts to deliver services in accordance with agreed timelines and specifications. However, service delivery may be affected by factors beyond our control, including client responsiveness, third-party dependencies, and external circumstances.
  • Payment Terms: Payment terms for services will be specified in separate service agreements. Generally, payment is due within 30 days of invoice date unless otherwise specified. Late payments may be subject to interest charges as permitted by law.

6. Digital Products and Purchases

Our digital store offers various products including policy toolkits, templates, and educational resources. All purchases are subject to the following terms:

  • Product Availability: Digital products are generally available for immediate download after purchase. We reserve the right to modify, update, or discontinue products at any time.
  • Licensing: Digital products are licensed for use by the purchasing organization only. You may not redistribute, resell, or share digital products with third parties without express written permission.
  • Refund Policy: Due to the digital nature of our products, all sales are generally final. Refunds may be considered on a case-by-case basis for defective products or billing errors within 30 days of purchase.
  • Updates: We may provide updates to digital products from time to time. Access to updates is not guaranteed and may be subject to additional terms or fees.

7. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of Purpose Forward and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

  • Content Ownership: All content on the Website, including but not limited to text, graphics, logos, images, audio clips, digital downloads, and software, is the property of Purpose Forward or its content suppliers and is protected by copyright and other intellectual property laws.
  • Limited License: We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or organizational use in accordance with these Terms. This license does not include any right to: resell or make commercial use of the Service or its contents; make derivative use of the Service or its contents; download or copy account information for the benefit of third parties; or use data mining, robots, or similar data gathering tools.
  • User-Generated Content: If you submit content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content in connection with the Service.

8. Privacy and Data Protection

Your privacy is paramount to us. By accessing or using our Service, you agree to the collection and use of your information in accordance with our Privacy Policy.

For SMS communications, please refer to our separate SMS Policy (available at https://www.purposeforward.org/privacy/SMS), which specifically governs our text messaging services, including hyperlinks for restricted service access, support request management, and one-time password (OTP) management.

8.1 Information Collection and Use

We collect various types of personal information, including but not limited to contact details (e.g., name, email, phone number, organizational details), interaction data (e.g., website usage, communication history), and device/technical information. This information is collected to provide and improve our services, process transactions, communicate with you, and comply with legal obligations. We implement appropriate technical and organizational measures to protect your personal information against unauthorized access, alteration, disclosure, or destruction. This includes encryption, access controls, and regular security audits. While we strive to use commercially acceptable means to protect your personal information, no method of transmission over the Internet or electronic storage is 100% secure.

As a Canadian organization serving a global client base, including the United States, your information may be transferred to and processed in countries outside of your jurisdiction. We ensure that such transfers are conducted in accordance with applicable privacy laws and with appropriate safeguards in place to ensure the continued protection of your data. This may involve relying on adequacy decisions, standard contractual clauses, or other legally recognized transfer mechanisms.

  • Right to Deletion/Erasure: Request the deletion of your personal information, subject to certain exceptions (e.g., to complete a transaction, detect security incidents, comply with legal obligations, or for freedom of expression).
  • Right to Withdraw Consent: Withdraw your consent for certain processing activities.
  • Right to Opt-Out: For US residents (e.g., under CCPA/CPRA), the right to opt-out of the "sale\" or "sharing\" of personal information for purposes like cross-context behavioral advertising. Our Service may contain links to third-party websites or services that are not owned or controlled by Purpose Forward. We integrate with various third-party platforms including Microsoft services, HappyFox ticketing system, and Wix website backend services to provide our services effectively.

  • No Control: Purpose Forward has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Purpose Forward shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of any such content, goods, or services available on or through any such websites or services.
  • Third-Party Terms: Your use of third-party services is subject to their respective terms and conditions and privacy policies. We encourage you to read the terms and conditions and privacy policies of any third-party websites or services that you visit or use.
  • Integration Services: When we provide services that integrate with third-party platforms, we act as a service provider to facilitate your use of those platforms. We are not responsible for the availability, functionality, or security of third-party platforms.

10. Disclaimers and Limitations of Liability

10.1 Service Disclaimers

The information on this Service is provided on an "as is" basis. To the fullest extent permitted by law, Purpose Forward excludes all representations, warranties, conditions, and other terms which might otherwise be implied by statute, common law, or the law of equity.

  • Service Availability: We do not guarantee that the Service will be available at all times or that it will be free from errors, viruses, or other harmful components. We reserve the right to suspend or terminate the Service for maintenance, updates, or other reasons.
  • Professional Advice: The content on our Service is for informational purposes only and does not constitute professional advice. You should consult with qualified professionals before making decisions based on information from our Service.
  • No Warranties: We make no warranties or representations about the accuracy, reliability, completeness, or timeliness of the content, services, software, text, graphics, and links.

10.2 Limitation of Liability

To the fullest extent permitted by applicable law, Purpose Forward shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use of or inability to use the Service
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Service by any third party
  • Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the Service

Maximum Liability: In no event shall Purpose Forward's total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing or using the Service during the twelve (12) months immediately preceding the date of the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Purpose Forward, its officers, directors, employees, agents, licensors, and suppliers from and against any claims, actions, or demands, liabilities, and settlements, including without limitation reasonable legal and accounting fees, resulting from or alleged to result from:

  • Your use of and access to the Service
  • Your violation of these Terms
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right
  • Any claim that your use of the Service caused damage to a third party

This defense and indemnification obligation will survive these Terms and your use of the Service.

12. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms.

If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service.

Survival: All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Jurisdiction

These Terms shall be interpreted and governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law provisions.

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or provincial courts located in Ontario, Canada, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

If you are accessing the Service from outside Canada, you are responsible for compliance with local laws in your jurisdiction.

14. Dispute Resolution

We encourage you to contact us first to resolve any disputes. Most concerns can be resolved quickly and to your satisfaction by contacting our support team.

For disputes that cannot be resolved through direct communication, the parties agree to attempt to resolve the dispute through mediation before pursuing litigation. Any mediation will be conducted in Ontario, Canada, in accordance with the mediation rules of the ADR Institute of Ontario.

If mediation is unsuccessful, any legal action must be brought in the courts of Ontario, Canada, as specified in the Governing Law section above.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific services, constitute the entire agreement between you and Purpose Forward regarding the use of the Service and supersede all prior and contemporaneous written or oral agreements between you and Purpose Forward.

15.2 Modifications

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

15.3 Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.

15.4 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Purpose Forward.

15.5 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may assign or transfer these Terms, at our sole discretion, without restriction.
